1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Adpadi ("we," "us," or "our"), concerning your access to and use of the Adpadi website as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Services Provided

Adpadi provides a digital advertising platform that allows businesses to create, manage, and distribute advertisements via WhatsApp Status ("Services"). We facilitate the connection between advertisers and potential customers through our network.

3. User Accounts

To use certain features of the Site, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your password and accept all risks of unauthorized access to your account and the information you provide.
  • Notify us immediately if you discover or otherwise suspect any security breaches related to the Site or your account.

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete.

4. Fees and Payments

Pay-As-You-Go: Adpadi operates on a pay-as-you-go model. You are charged based on the performance of your ads, per view, per click and a commission owed for successful conversions (e.g. sales, leads, app installs, referrals for web traffic, etc.).

Ad Credits: You may need to purchase ad credits to run campaigns. These credits are non-refundable except as required by law.

Payment Processing: All payments are processed through secure third-party payment providers. You agree to valid payment information and authorize us to charge your selected payment method for all purchases.

Taxes: You are responsible for all applicable taxes, duties, or other governmental assessments associated with your use of Adpadi.

5. Prohibited Activities

You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Site, you agree not to:

  • Systematically retrieve data or other content from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Use the Site to advertise or offer to sell goods and services that are illegal, fraudulent, or violate the policies of WhatsApp, Adpadi or other third-party platforms.
  • Engage in unauthorized framing of or linking to the Site.
  • Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material that interferes with any party's uninterrupted use and enjoyment of the Site.
  • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site to you.

6. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

7. Disclaimer and Limitation of Liability

THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK.

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Governing Law

These Terms shall be governed by and defined following the laws of the Federal Republic of Nigeria. Adpadi and yourself irrevocably consent that the courts of Nigeria shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
